1. Acceptance of Terms

By accessing or using the Surely platform ("Service", "Platform", "We", "Us", "Our"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use our Service.

These Terms apply to all users of the Service, including but not limited to individual users, businesses, and authorized representatives of businesses.

2. Definitions

• "Service" or "Platform" means the Surely WhatsApp CRM platform, including all features, tools, and documentation.
• "User" or "You" means any individual or entity accessing or using the Service.
• "Account" means a registered account on the Service.
• "License" means a user license purchased to access the Service.
• "Customer Data" means any data, information, or material uploaded, submitted, or transmitted through the Service.
• "Billing Period" means the monthly or annual period for which you have purchased a license.

3. Account Registration

To use our Service, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain and update your account information to keep it accurate and current.
• Maintain the security and confidentiality of your account credentials.
• Notify us immediately of any unauthorized use of your account.
• Be responsible for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that violate these Terms or any applicable laws.

4. Payment & Fees

Our Service is offered on a paid subscription basis. By purchasing a license, you agree to the following:

Pricing

• All prices are listed in Indian Rupees (INR) and are exclusive of applicable taxes (GST).
• Prices are subject to change with 30 days' notice. Price changes will not affect your current billing period.
• Annual plans are billed upfront for the entire year and offer a 30% discount compared to monthly pricing.

Payment Terms

• Payments are due at the start of each billing period (monthly or annually).
• We accept payments via credit card, debit card, UPI, NetBanking, and bank transfer.
• If payment is not received by the due date, we may suspend access to the Service.

5. Refund Policy

Important Notes

• No Refunds: We do not provide refunds or credits for partial billing periods, unused features, or early termination.
• No Prorated Charges: We do not offer prorated charges or partial refunds if you cancel before the end of your billing period.
• Test Before Committing: We recommend starting with 1 license to thoroughly test the platform before purchasing multiple licenses.
• Downgrades: If you downgrade your plan, the new rate will apply from the next billing cycle. No refunds for downgrades.

We encourage you to take advantage of our demo and start with 1 license to ensure Surely meets your business requirements before making a larger commitment.

6. License to Use

Subject to your compliance with these Terms and payment of applicable fees, we grant you a non-exclusive, non-transferable, revocable license to access and use the Service for your internal business purposes.

License Restrictions

• You may not share your license with individuals who do not have a valid license.
• You may not sublicense, resell, or distribute the Service to third parties.
• You may not copy, modify, or create derivative works of the Service.
• You may not reverse engineer, decompile, or disassemble the Service.

7. Prohibited Uses

You agree not to use the Service for any unlawful purpose or in any way that could damage, disable, overburden, or impair the Service. Prohibited activities include:

• Sending spam, unsolicited messages, or any form of illegal communication.
• Harassing, abusing, threatening, or harming others.
• Impersonating any person or entity.
• Uploading viruses, malware, or other malicious code.
• Attempting to gain unauthorized access to the Service or other users' accounts.
• Using the Service to violate any applicable laws or regulations.
• Collecting user data without consent.
• Interfering with or disrupting the Service or its servers.

8. Data & Privacy

Your Data

You retain all ownership rights to your Customer Data. We do not claim ownership over any data you upload to the Service.

Our Use of Data

We may use aggregated, anonymized data to improve our Service, develop new features, and analyze usage patterns. This data cannot be used to identify you or your customers.

Data Security

We implement industry-standard security measures to protect your data. However, no method of transmission over the internet is 100% secure.

9. Termination

By You

You may cancel your subscription at any time from your account settings. Cancellation will take effect at the end of your current billing period. No refunds will be provided for partial billing periods.

By Us

We may suspend or terminate your account if:

• You violate these Terms or any applicable laws.
• Your payment is overdue.
• Your use of the Service poses a security risk to us or other users.
• We are required to do so by law.

Effect of Termination

Upon termination, your access to the Service will be revoked, and we may delete your Customer Data after 30 days. You are responsible for exporting your data before termination.

10. Disclaimer of Warranties

To the fullest extent permitted by law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

Our total liability to you for any claims arising out of or relating to these Terms or the Service shall not exceed the amount you paid us during the 12 months preceding the claim.

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless Surely and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorney's fees) arising out of or relating to:

• Your use of the Service.
• Your violation of these Terms.
• Your violation of any applicable laws or regulations.
• Your Customer Data or any content you submit to the Service.

13. Changes to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by:

• Sending an email to your registered email address.
• Posting a notice within the Service.
• Updating the "Last Updated" date at the top of these Terms.

Your continued use of the Service after any changes constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must stop using the Service and cancel your subscription.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts located in Pune, Maharashtra, India.
